Primary responsibility of the role will be to manage the Irish legal entities which includes: setting up quarterly board meetings for up to 10 entities, attending board meetings, taking minutes of the meetings
Also responsible for additional EMEA multi-jurisdictional subsidiary entities with the role overall encompassing:
assist with simplification of complex group structure
involvement in corporate restructurings and tax initiatives
monitoring changes in legislation and taking appropriate action
providing advice to the board of directors, accounting team and legal team
ensuring timely filings and that company secretarial database Blueprint - is up-to-date for the entities managed separate team handles uploading
assist in the set-up of new entities in the region, as required
setting up board and shareholder meetings and arranging for directors to sign documentation
assist in the integration and rationalisation of acquired companies
Requires liaison with EMEA and US Corporate legal team colleagues, Auditors, external legal advisers, EMEA and global Accounting and Tax departments
ICSA qualified (ACIS)
8+ years experience in a similar role post qualifying
Good knowledge of governance best practice, relevant issues, statutory requirements and regulations
Experience of minute taking in a business or committee environment.
Able to work in Dells fast moving environment under pressure in a busy role
Methodical with attention to detail and accuracy
Proficient in Word, PowerPoint, Excel and Outlook (e-mail), good knowledge of Blueprint OneWorld (or similar)
Team player this role is to join a team of company secretaries.
Project Management skills (Microsoft Project experience, or similar)
