Kellogg’s is a matrix organisation, consisting of 2 Core Businesses and 6 European Country Clusters
The European Legal Team is a professional, friendly, energised and globally connected department lead by the European General Counsel and made up of Country Cluster Business Lawyers, Regional Specialists, Trainees and Paraprofessionals.
You will, in this role, provide high quality professional advice and counsel on transaction matters relating to the Kellogg European business (EMEA). The role involves drafting of contracts and advice and counsel on all aspects of the transactions.
You will partner and collaborate with all departments of our Kellogg business in Europe, our Legal teams in Europe, the USA, and in Latin America and Asia Pacific, as well as with external lawyers and other professional advisers, to ensure appropriate contractual terms and protections for the business.
In addition you will be supporting the development and implementation of corporate restructuring transactions initiated by Tax/Treasury as well as all corporate governance queries and matters relating to the Irish, Luxembourg and Bermudian registered entities within the Kellogg Europe corporate legal structure.

WHAT WILL I BE DOING?
In your role as European Counsel - Transactions, you will contribute to the success of Kellogg business by:
Being directly responsible for the provision of strategic legal advice for business critical matters with particular emphasis on transactions matters – including European contracts, corporate governance, to include commercial and structural organisation
Acting as the primary European Transactions Practise Group contact for all queries on contracts and transactions for both Regional and Global Legal Teams
Drafting, reviewing, negotiating, finalising and legally approving pan European contracts, supported by the European Legal & Compliance team
Advising and supporting the business in relation to the management of contract documentation, amendment and renewal of contractual arrangements
Managing legal work for any EMEA Tax/Finance corporate restructuring projects including all documents, time management, boards of directors and Shareholders' approvals, updating corporate governance records and filings
Managing legal work for commercial projects including drafting and reviewing documentation, legal advice, execution of any documents
The provision of support on corporate governance issues and corporate regulatory compliance
Developing and maintaining good working relationships with key stakeholders within the European and Global business e.g., Supply Chain including Procurement, Tax and Treasury
Manage pan EMEA contracts, with high value and high strategic importance for future growth objectives of the business
Manage corporate governance and compliance for the Kellogg EMEA companies with support from our external service provider
WHAT DO I NEED TO DEMONSTRATE?
As well as a hunger to learn and succeed, to be considered for this position you must be able to meet the following requirements:
Law Degree or Equivalent non-law degree plus post graduate legal qualification
A high level of integrity is required to preserve the confidentiality of strategic business projects and plan for successful future projects
Understanding of Anti-Trust / Competition Law knowledge
Drive the wider Legal and Compliance team to create a positive and energising environment
Problem solving and well developed organisational skills are paramount, as this role requires the ability to deal with a large volume of complex, high pressured situations of varying size at the same time to meet multiple timelines
Ability to review information quickly and make necessary decisions in short time frames
Well developed leadership skills including inter-personal and communication skills, integrity and the ability to work pro-actively in a cross functional team. A broad general business knowledge is necessary
Ability to build realistic expectations and ensure that the right people are involved in projects and processes
Ability to partner effectively both internally and externally at all levels of the business, develop a comprehensive network and establish good working relationships both within the Legal Department and with other departments including Tax, Finance, Supply Chain, Marketing and HR in addition to external legal counsels and subject matter experts
Considerable Post Qualification Experience (PQE) in transactions to include commercial contracts, corporate tax driven projects and other large transactions in a law firm or in house legal department of a multinational company - preferably in the a Fast Moving Consumer Goods (FMCG) sector
Previous experience of working in an in-house Legal Department
Previous experience of working with an International Legal Department
Additional European Languages skills would be a distinct advantage
Knowledge of Company Secretary Responsibilities
